1. About MAG&Cie

MAG&Cie is the independent consulting and development activity of Antoine Guittet, technology and artificial intelligence consultant since 2015. 2. Services and Pricing

2.1 AI Implementation Support — 4-Phase Mission The AI support mission is structured in progressive phases. Each phase can be contracted independently. • Phase 1 — Preliminary Questionnaire: FREE, no commitment • Phase 2 — Exploratory Audit: €350 standalone / Free if Phase 3+4 • Phase 3 — Recommendations & Costing: €990 (deducted from Phase 4 if continued) • Phase 4 — Implementation & Support: From €2,500 (detailed quote based on scope) • Ongoing Support: €150/month (monthly, cancelable at any time) * Phase 2 costs €350 if done standalone. It's free when the mission includes at least Phase 3. The €350 are deducted from Phase 3 if the mission continues. Phase 3's €990 are deducted from Phase 4 if the mission extends. Third-party AI subscriptions (OpenAI, Anthropic, Google, etc.) and hosting costs are at the client's expense. 2.2 AI Training • Discovery Workshop (1h): €90 • Half-Day (3h): €250 • Full Day (6h): €450 • Team Pack (up to 8 people): Custom quote OPCO funding possible.

3. Contractual Process

1. Quote Signature — Quote sent by email, signed return + approval required. 50% deposit upon signature (Phases 3 & 4 only). 2. Mission Start — Document collection, tool access, initial exchanges. Within 5 business days. 3. Interim Delivery — Progress updates, exchanges, adjustments. 4. Final Delivery — Deliverable submitted (report, deployment, training). Balance invoiced on delivery. 5. Payment — Bank transfer or card via Stripe. 30 days from invoice date. Contractual documents used: • Quote: main contractual document. A signed quote (with 'approved' mention) constitutes a contract. • Engagement letter: used for long or complex Phase 4 missions. • Purchase order: accepted if the client has their own procurement process. • No work begins without a signed document and deposit received (Phase 3 & 4).

4. Billing and Payment Terms

4.1 Payment terms by phase • Phase 1: Free • Phase 2: No deposit — 100% upon audit report delivery (or free if Phase 3+4) • Phase 3: 50% deposit (€495) upon signature, 50% balance upon report delivery • Phase 4: 30–50% deposit upon signature depending on amount, balance upon final delivery or by milestones • Ongoing Support: First month upon signature, monthly at start of month • Training: 100% upon date confirmation 4.2 Accepted payment methods • Bank transfer (IBAN on invoice) — preferred method • Online card payment via Stripe • Check payable to Antoine Guittet Invoices are issued via Abby with an integrated Stripe payment link. 4.3 Payment deadlines Invoices are payable within 30 days of issue. Late payment automatically incurs penalties at 3 times the legal interest rate and a fixed compensation of €40 for collection costs. 4.4 Invoices and VAT VAT not applicable — art. 293 B of the French Tax Code. EU VAT number pending.

5. Mutual Commitments

5.1 MAG&Cie Commitments • Perform services with care, diligence and within agreed deadlines • Maintain confidentiality of all transmitted information and documents • Inform the client of any element likely to modify scope or timeline • Not subcontract any part of the mission without prior written client agreement • Deliver outputs in formats and deadlines specified in the quote 5.2 Client Commitments • Provide necessary documents, access and information within agreed deadlines • Designate an available point of contact for exchanges and validations • Respect agreed payment deadlines • Not use deliverables for purposes other than those agreed • Inform MAG&Cie of any scope change before it is committed Delivery timelines are calculated from receipt of all requested elements. Any delay in transmission proportionally shifts the delivery deadline.

6. Intellectual Property and Confidentiality

6.1 Deliverable Ownership Upon full payment, the client acquires full ownership of deliverables produced specifically for their mission. MAG&Cie retains ownership of methods, frameworks, generic tools and know-how developed independently. 6.2 Confidentiality MAG&Cie commits to maintaining strict confidentiality of all documents, data, processes and information transmitted by the client, during the mission and for 3 years after its closure. 6.3 Personal Data Protection (GDPR) MAG&Cie acts as a processor under GDPR: • Data is processed only for purposes strictly necessary for the mission • No personal data is transmitted to third parties without prior client agreement • AI tools are selected considering their GDPR compliance • Upon request, a processing register and DPA can be provided • Data is deleted or returned to the client at mission end

7. Termination and Modification

7.1 Client-Initiated Termination The client may terminate at any time by email with acknowledgment of receipt. Services already performed are due pro rata. The deposit is non-refundable after work has started. Partial deliverables are handed over as-is. 7.2 MAG&Cie-Initiated Termination MAG&Cie may terminate in case of non-payment after reminder, refusal to provide necessary elements, or behavior making the mission impossible. 15-day notice period. 7.3 Scope Modification Any modification requires a written amendment signed by both parties. Verbal or email modifications do not constitute a contractual commitment.

8. Liability and Warranties

MAG&Cie is bound by an obligation of means, not results. Liability is limited to amounts actually received for the relevant mission. MAG&Cie shall not be liable for indirect damages, loss of business, data loss or revenue loss resulting from the use or non-use of delivered outputs. The client is solely responsible for regulatory compliance of their activity and the use they make of tools and recommendations provided.

9. Applicable Law and Disputes

These terms and conditions are governed by French law. In case of dispute, parties commit to seeking an amicable solution before legal proceedings. Failing amicable agreement within 30 days, the dispute shall be submitted to the competent courts of Nantes (Loire-Atlantique), France.

10. Acceptance of Terms

These General Terms and Conditions are communicated to every client prior to signing a quote. Signing the quote constitutes full acceptance of these T&Cs. In case of contradiction between the T&Cs and a quote or engagement letter, the provisions of the quote or engagement letter shall prevail.
